1. Acceptance of these terms

By using the Side Growth Partners website (the "Site") or opting in to our text-message program you agree to these Terms of Service. If you do not agree, please stop using the Site.

2. Informational use only; Circular 230 disclosure

Content on the Site is provided for general informational purposes only and does not constitute tax, legal, accounting, or investment advice. Tax outcomes depend on individual circumstances. In accordance with IRS Circular 230, nothing on this Site is intended or written to be used, and cannot be used, for the purpose of avoiding tax-related penalties or promoting, marketing, or recommending any tax-related matter to another party. Always consult a qualified professional before acting on anything you read here.

3. No CPA-client relationship without an engagement letter

Visiting the Site, submitting an intake form, scheduling a consultation, or exchanging emails does not create a CPA-client relationship. A professional relationship is formed only upon a signed engagement letter describing the scope of services and fees. If any conflict exists between these Terms and your signed engagement letter, the engagement letter controls with respect to that engagement.

4. Electronic communications & e-signature consent

You consent to receive communications from us electronically — including via email, secure document portal (such as Intuit Link), and, if you opt in, text message — and you agree that electronic signatures (through tools such as DocuSign) satisfy any legal requirement that a communication or signature be in writing.

5. Intellectual property

All content on the Site, including text, logos, service marks, graphics, and layout, is owned by Side Growth Partners or its licensors and is protected by US copyright, trademark, and related laws. You may not reproduce, distribute, or create derivative works without our prior written permission.

6. Third-party links and tools

The Site may reference or link to tools operated by others (e.g., scheduling, e-signature, or document-portal vendors). We are not responsible for the content, terms, or privacy practices of those third parties; your use of them is subject to their own terms.

7. Mobile messaging (SMS) program terms

Program name: Side Growth Partners SMS.

Program description: By opting in, you consent to receive text messages from Side Growth Partners in two categories:

• Transactional / customer-care messages: appointment confirmations and reminders, document requests, filing-status updates, IRS notice alerts, and messages directly related to services you have engaged us for.
• Promotional messages (separate opt-in required): occasional tax-deadline reminders, planning tips, and seasonal offers.

How you opt in: in writing, by checking the corresponding SMS-consent box on our website intake form or by agreeing to an equivalent provision in your engagement letter.

Message frequency: varies based on your engagement with us.

Message and data rates: Msg & data rates may apply. For questions about your text plan or data plan, contact your wireless provider.

Opt out — reply STOP. You can cancel the SMS service at any time by texting STOP to any message you receive from us. After you send STOP, we will send a one-time confirmation that you have been unsubscribed and you will not receive any additional messages unless you opt in again. To rejoin, submit the intake form again or ask us in writing to add you back.

Carrier liability: Carriers are not liable for delayed or undelivered messages.

Supported carriers: the program is compatible with major US carriers, including AT&T, T-Mobile, Verizon, and major MVNOs.

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

8. Disclaimers and limitation of liability

The Site is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Side Growth Partners is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from your use of the Site. Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability under our professional standards for services rendered under a signed engagement letter.

9. Indemnification

You agree to defend and indemnify Side Growth Partners from claims arising out of your misuse of the Site or violation of these Terms.

10. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Norfolk County, Massachusetts, and you consent to personal jurisdiction and venue in those courts.

11. Dispute resolution

Before filing any claim, you agree to contact us in writing at andy@sidegrowthpartners.com and give us 30 days to resolve the dispute informally. Nothing in this section prevents either party from seeking relief in small-claims court for qualifying matters.

12. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, telecommunications outages, acts of government, or IRS or state agency system outages.

13. Severability, entire agreement, assignment

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. These Terms, together with your engagement letter (if any), constitute the entire agreement between you and Side Growth Partners regarding the Site and the SMS program. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

14. Changes to these terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
